1. Agreement to terms
These Terms of Service govern any project, proposal, or engagement between Reasonix ("we", "our", "the studio") and a client ("you"). By engaging us for work, or by using this website, you agree to these terms.
For a specific project, these terms apply alongside — and where relevant, are supplemented by — the written proposal, quote, or scope of work we agree with you directly.
2. Our services
Reasonix provides AI-accelerated digital services, including but not limited to websites, automation and AI systems, smart web applications, branding, growth systems, and content — as described on this website.
Every engagement is scoped individually. Nothing on this website constitutes a binding quote; a formal, written proposal is provided after discovery for each project.
3. The engagement process
Projects typically begin with a discovery conversation, followed by a written proposal covering scope, timeline, and cost. Work begins once that proposal is accepted in writing (including by email).
Timely feedback, content, access, and approvals from you are usually needed to keep a project on schedule — delays on your side may affect the delivery timeline.
4. Fees & payment
Fees are agreed per project in the written proposal, not published on this website. Payment terms (including any deposit, milestones, or final payment) are set out in that proposal.
Late payment may pause project work until resolved.
5. Ownership
Once a project is paid in full, you own the final deliverables we create for you — including code, designs, and content produced specifically for your project — unless otherwise agreed in writing.
This does not extend to our own pre-existing tools, frameworks, internal processes, or any third-party software, assets, or licences used to build your project, which remain the property of their respective owners and are licensed to you for the intended use.
6. Changes to scope
Requests that go beyond the agreed scope of a project are treated as a change request, and may involve an adjusted timeline or additional cost, agreed with you before we proceed.
7. Confidentiality
We treat information you share with us about your business as confidential, and we expect the same in return regarding any of our own methods or materials shared with you during a project.
8. Warranties & disclaimers
We aim to deliver high-quality, carefully tested work. That said, our services are provided on an "as is" basis beyond what's explicitly agreed in a project proposal — we don't guarantee specific business outcomes (such as traffic, leads, or revenue) unless explicitly stated in writing.
9. Limitation of liability
To the fullest extent permitted by law, Reasonix's total liability for any claim relating to a project is limited to the amount paid by you for that specific project. We are not liable for indirect, incidental, or consequential damages.
10. Termination
Either party may end an engagement with reasonable written notice. You remain responsible for payment for work completed up to the point of termination.
11. Governing law
These terms are governed by the laws of [[GOVERNING_LAW]], without regard to conflict-of-law principles. Any dispute will first be approached in good faith directly between the parties before other action is taken.
